Terms and Conditions for Koi TalentIntroductionThese terms and conditions govern the use of our social media marketing services. By engaging our services, clients agree to abide by the terms set forth herein.
ServicesKoi Talent agrees to provide the social media marketing services as described in the service agreement or contract signed by the client. This includes, but is not limited to, content creation, social media account management, advertising campaigns, and analytics reporting.
PaymentAll social media marketing services must be paid for in advance or as per the payment schedule outlined in the service agreement. All payments are to be made in USD (U.S. Dollars).
Late payments may incur additional charges, also specified in USD.
TerminationEither party may terminate the agreement with a written notice of 30 days. In case of termination, any outstanding payments for services rendered, denominated in USD, must be settled.
Intellectual PropertyAll marketing materials, including graphics, content, and digital assets created for social media marketing purposes, remain the property of Koi Talent until full payment, in USD, is received.
ConfidentialityBoth parties agree to maintain the confidentiality of all information obtained during the execution of services.
Limitation of LiabilityKoi Talent will not be liable for any indirect, special, or consequential damages, or any loss of revenue or profits, arising in connection with the social media marketing services provided.
IndemnificationThe client agrees to indemnify and hold harmless Koi Talent from any claims, damages, or losses resulting from the client's breach of this agreement.
Governing LawThese terms and conditions shall be governed by the laws of USA Tennessee
Amendments
Koi Talent reserves the right to update or modify these terms and conditions at any time without prior notice.
